Nerehore Vendor Agreement

This agreement is between you (the "Vendor") and [Operator], which runs Nerehore. It applies in addition to the Terms of Use. You accept it when you apply to sell on Nerehore.
1. Listing
- Your shop goes live only after the platform administrator approves it. Approval may be refused or withdrawn with a reason.
- You will keep your business name, category, contact number and location accurate.
- If you give an FSSAI licence or registration number, it must be valid and yours; it will be shown to residents as a badge. You remain responsible for holding any licence or registration that the law requires for what you sell, whether or not you add it to Nerehore.
2. Items, prices and stock
- You set your items, prices and units, and keep stock status and shop open/closed status up to date.
- You will describe items honestly and sell only lawful goods.
- You honour the price shown to the resident when the order was placed.
3. Orders
- You will accept or reject each new order promptly. If you reject or cancel, you will choose a genuine reason.
- You prepare and deliver orders yourself and collect payment (cash or UPI) directly from the resident.
- You mark orders as delivered once handed over.
- You handle resident complaints about your goods and deliveries fairly and directly.
4. Resident data
- You receive residents' names, phone numbers and flat details only to fulfil their orders.
- You will not use them for other purposes (for example, unrelated marketing or adding them to groups) or share them with anyone else.
- You will delete or stop using residents' details on request, and when no longer needed for the order.
5. Fees
- Free trial. Each shop is free for 1 month from the date it is first approved. Founding offer: shops approved before 31 Jan 2027 are free until 31 Jan 2027.
- Monthly fee. After the trial, each shop pays ₹199 per month, in advance. If you have shops in more than one community, each shop pays separately. There is no commission on your orders.
- How to pay. You pay [Operator] by UPI to the ID shown in the app (or in cash to the administrator) and report the payment in the app. It counts once the administrator confirms it; you can download a receipt.
- Late payment. If a fee is not paid within [grace days] days of its due date, your shop is paused: residents cannot see it or order, but orders already placed can be completed. It reopens once payment is confirmed.
- Fee changes. We will give at least 30 days' notice of any change to the fee; it applies from the next billing period after that. You may close your shop before it applies.
- Refunds. Fees already paid are not refunded for part of a month, except where [Operator] ends this agreement without cause. [Legal review: refund policy]

6. Suspension and ending
- We may pause or remove your shop if you break this agreement, receive repeated genuine complaints, or sell unsafe or unlawful goods. We will tell you the reason.
- You may close your shop at any time. Orders already accepted must still be completed or cancelled with a reason.
7. Responsibility
You are solely responsible for the goods and services you sell, including their safety and quality, and for any taxes due on your sales. [Operator] is a technology provider and not a party to your sales.
